Terms of Service

1. Acceptance of Terms

By accessing or using MEL Expert ("Service"), operated by Melelem, Inc. ("Melelem," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

MEL Expert is an AI assistant that integrates with Slack and Discord to monitor team conversations and offer contextual assistance. The Service uses artificial intelligence to detect opportunities to help and generates suggested responses that users can accept, dismiss, or snooze.

3. User Accounts

You must create an account to use MEL Expert. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access.

You must provide accurate and complete information when creating your account and keep this information current.

4. API Keys and Third-Party Services

MEL Expert requires you to provide your own API keys from AI providers (OpenAI, Anthropic, Google, or xAI). You are responsible for:

• Obtaining and maintaining valid API keys from these providers
• Complying with the terms of service of each AI provider
• All costs incurred from API usage with your keys
• Ensuring your API keys have appropriate permissions and usage limits

We are not responsible for any issues arising from your relationship with third-party AI providers, including service outages, rate limits, or charges.

5. Slack and Discord Integration

By connecting MEL Expert to your Slack workspace or Discord server, you represent that you have the authority to grant such access and that your use complies with Slack's and Discord's terms of service.

You are responsible for configuring which channels MEL Expert monitors and for ensuring that monitoring is appropriate for your organization's policies and any applicable laws.

6. Acceptable Use

You agree not to use MEL Expert to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service
• Use the Service for any purpose that violates the terms of third-party AI providers
• Monitor conversations without appropriate consent or authorization
• Generate or distribute misleading, fraudulent, or deceptive content

7. Content and Intellectual Property

You retain ownership of any content you provide to the Service, including documents uploaded as knowledge sources. By using the Service, you grant us a limited license to process this content solely to provide the Service.

MEL Expert, including its software, design, and documentation, is owned by Melelem, Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

8. AI-Generated Content

MEL Expert uses artificial intelligence to generate suggested responses. AI-generated content may contain errors, inaccuracies, or inappropriate material. You are responsible for reviewing all suggestions before accepting them and for any content you choose to post in your Slack or Discord channels.

We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content.

9. Subscription and Payment

MEL Expert offers free and paid subscription tiers. Paid subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees incurred.

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods.

We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may suspend or discontinue the Service at any time for maintenance, updates, or other reasons.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MELELEM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Melelem, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Delaware.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
